Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the services provided by EmpirioLabs.ai LLC, a New Mexico limited liability company (“Empirio Labs”, “we”, “us”, or “our”), including APIs, hosted AI models, and bots made available through third-party platforms (such as Poe) or directly.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Who we are
Empirio Labs operates infrastructure that connects users to various AI models from multiple sources (proprietary and open-source). We are an independent provider and are not owned by, operated by, or a legal representative of the model developers whose technology we integrate.
2. Use of our services
You agree to:
Use the services only in compliance with these Terms and applicable law.
Not use the services to engage in illegal, harmful, abusive, or fraudulent activity (including but not limited to harassment, distribution of malware, IP infringement, or attempts to bypass safety systems).
Not attempt to interfere with or disrupt the operation, security, or integrity of our systems or those of our partners.
If you access Empirio Labs bots through a third-party platform (such as Poe), you must also comply with that platform’s policies and terms.
3. No ownership of third-party models
Our services may expose you to models and APIs from third-party providers and open-source communities. You understand and agree that:
Empirio Labs does not own these models and does not grant you any intellectual property rights in them.
Your use of such models is also subject to the applicable third-party terms and acceptable-use policies.
4. Pricing, plans, and changes
Where our services or integrations are offered on a paid basis (directly or via a third-party platform):
Pricing, quotas, and feature sets may be displayed in the relevant interface (for example, on a platform’s pricing page/rate card).
We reserve the right to modify or discontinue pricing, plans, rate limits, and features at any time.
To the extent permitted by the applicable platform and law, continued use of the services after changes become effective constitutes acceptance of the updated pricing and terms.
If you purchase access through a third-party platform, billing and refunds are governed by that platform’s terms and policies.
5. Content and responsibility
You are responsible for:
Any content you submit to or generate with our services (prompts, messages, files, outputs, etc.).
Ensuring that your use of generated content complies with applicable law, third-party rights, and any relevant model-provider restrictions.
Specifically for Voice Cloning features: You represent and warrant that you have obtained explicit, written or recorded consent from the individual whose voice you are cloning. You agree not to use voice clones for deceptive purposes, impersonation of public figures, or non-consensual content. You acknowledge that Empirio Labs may embed invisible watermarks or metadata in generated audio to verify its origin.
You agree not to use the services to create or distribute content that is illegal, abusive, deceptive, or infringes the rights of others.
6. Privacy
Our handling of data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the services, you consent to our data practices as described there.
7. Brand, names, and attribution
References to third-party brands, logos, and model names within our interfaces or bots are used solely to identify the underlying technology being integrated.
Such references do not imply sponsorship, endorsement, or affiliation by those third parties, unless explicitly stated.
Empirio Labs presents its own name and logo distinctly to clarify that we are the provider of the integration, not the owner of the third-party brands.

8. Intellectual property
Except for content and models provided by you or third parties:
All rights, title, and interest in and to the Empirio Labs services, including software, infrastructure, documentation, and branding, are owned by or licensed to Empirio Labs.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the services for their intended purpose, subject to these Terms.
You may not reverse engineer, decompile, or attempt to extract source code from our services except where permitted by law.
9. Service availability and modifications
We may:
Modify, suspend, or discontinue the services (in whole or in part) at any time, with or without notice.
Implement limits on usage (such as rate limits, message caps, or bandwidth limits) to maintain system stability or comply with third-party requirements.
We do not guarantee uninterrupted or error-free operation of the services but strive for the best possible performance for our users.
10. Disclaimers
To the maximum extent permitted by law:
The services and all outputs are provided “as is” and “as available” without warranties of any kind, whether express or implied.
Empirio Labs does not warrant that outputs will be accurate, complete, or suitable for any particular purpose, and you should not rely on them as professional advice (legal, medical, financial, etc.).
You are solely responsible for evaluating outputs and using them with appropriate judgment and safeguards.
11. Limitation of liability
To the maximum extent permitted by law:
Empirio Labs will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, or business, arising out of or related to your use of the services.
Our total aggregate liability to you for all claims arising out of or relating to the services will not exceed the greater of:
(a) the amount you paid directly to Empirio Labs for the services in the three (3) months preceding the event giving rise to the claim, or
(b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Empirio Labs, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the services,
Your content, or
Your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the services (or specific integrations) at any time, with or without notice, if we believe:
You have violated these Terms or applicable law,
Your usage creates risk or harm to us, our partners, or other users, or
We are required to do so by a third-party platform or model provider.
We reserve the right to immediately ban any user found to be cloning voices without verified consent or using cloned voices for fraudulent or harassing purposes.
Upon termination, your right to use the services will cease. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.
14. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict‑of‑laws principles.
Any disputes arising out of or relating to these Terms or the services will be resolved in the state courts located in New Mexico (and, where applicable, the federal courts in the District of New Mexico), and you consent to the personal jurisdiction of those courts.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the date at the top of this page. If changes are material, we may provide additional notice (for example, via our website or relevant platform).
To the extent permitted by law, your continued use of the services after the updated Terms become effective constitutes your acceptance of them.
16. Third-Party Software & Licenses
Our services incorporate open-source software and datasets, including for speech generation. The following components are used under their respective licenses:
