Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by EmpirioLabs.ai LLC, a New Mexico limited liability company ("Empirio Labs", "we", "us", or "our"), including APIs, hosted AI models, generated media, documentation, and bots made available through third-party platforms or directly.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Who we are

Empirio Labs operates infrastructure that connects users to various AI models from multiple sources. We are an independent provider and are not owned by, operated by, sponsored by, endorsed by, or a legal representative of the model developers whose technology we integrate unless expressly stated in a signed agreement or official announcement.

2. Use of our services

You agree to use the services only in compliance with these Terms, applicable law, third-party platform rules, provider policies, and any usage limits shown in the service. You must not interfere with or disrupt the operation, security, integrity, availability, or billing of our systems or those of our providers and partners.

You must not use the services for unlawful, harmful, abusive, deceptive, exploitative, privacy-invasive, infringing, or unsafe activity. This includes malware, credential theft, spam, harassment, non-consensual sexual content, sexual content involving minors, impersonation, deceptive voice or likeness use, rights infringement, evasion of safety controls, or high-impact decisions without appropriate professional review and legal authority.

You are responsible for checking whether a model, provider, endpoint, output, or downstream use is allowed for your intended purpose. Some models, datasets, open-weight releases, commercial APIs, or third-party platforms may impose additional limits, attribution requirements, acceptable-use rules, or license terms.

If you access Empirio Labs through a third-party platform, you must also comply with that platform's policies and terms.

3. No ownership of third-party models

Our services may expose you to models, APIs, datasets, software, and infrastructure from third-party providers and open-source communities. Empirio Labs does not own those third-party models and does not grant you intellectual property rights in them. Your use of third-party models may also be subject to third-party terms, licenses, acceptable-use rules, safety rules, and retention policies.

4. Pricing, plans, credits, and changes

Where services are offered on a paid basis, pricing, quotas, credits, rate limits, and feature sets may be displayed in the relevant interface. We may modify or discontinue pricing, plans, credits, rate limits, models, endpoints, providers, and features at any time to reflect provider costs, infrastructure costs, product changes, or risk controls.

Prices shown in our interfaces may exclude applicable sales tax, use tax, VAT, GST, and similar transaction taxes unless the checkout expressly states that tax is included. Applicable taxes may be calculated and added at checkout based on billing details, location, tax ID, product classification, and payment processor settings. You are responsible for paying those taxes when they apply, and our payment processors or checkout providers may collect billing, tax ID, invoice, and receipt information to process the transaction.

Unless a separate written agreement or applicable law requires otherwise, purchased credits are non-refundable. This includes one-time top-ups, auto top-up charges, any bonus credits, used credits, and consumed usage. Credits purchased on or after July 23, 2026, including bonus credits from that purchase, expire 12 months after they are added to your account. Credits purchased before that date are not subject to this expiration policy. We apply expiring credits in earliest-expiration order. Credits are account-specific, non-transferable, not redeemable for cash, and are not sold or marketed as gift cards or gift certificates. We do not enforce expiration to the extent prohibited by applicable law. Refunds, chargebacks, and disputes may require us to preserve and provide account, access, billing, and usage evidence. If a payment is reversed, refunded, charged back, or identified as unauthorized, we may temporarily suspend access, stop future renewals, and remove unused credits or allowances associated with the affected payment while the matter is reviewed. We may terminate access, cancel related subscriptions, and remove unused credits or allowances associated with the affected payment or terminated account when a reversal becomes final or we reasonably confirm fraud, abuse, or material billing risk. If a payment dispute is resolved in our favor and no separate violation remains, we may restore a temporary suspension. Nothing in this paragraph limits any non-waivable right or remedy under applicable law.

Once a request is accepted by our API, the request bills in full whether or not you receive the response. For streaming endpoints (such as chat, completions, messages, responses, and server-sent events), aborting the connection, calling abort from a client SDK, or losing the network does not stop the underlying model from running, and the request bills for the full output when generation finishes. For certain models that we operate on our own infrastructure, identified in our public documentation, a cancelled streaming request bills only for the tokens produced up to the point of cancellation. For asynchronous media generation (such as image, video, audio, and 3D), the background job continues after you stop polling, and the job bills for the full output when it finishes. For per-call, per-message, or fixed-fee endpoints, the full fee is incurred at the moment the request is accepted. Further details about cancellation behavior may be described in our public documentation and may be updated from time to time.

5. User content, generated outputs, and responsibility

"User Content" means prompts, messages, instructions, files, uploads, API requests, generated outputs, generated media, metadata, links you create or share, and any other content submitted to, processed by, generated through, hosted by, or distributed using the services.

You are solely responsible for User Content and for your use, publication, distribution, or sharing of outputs. Outputs are generated at your direction. Empirio Labs does not endorse, approve, verify, pre-screen, or assume responsibility for User Content, generated outputs, or content accessed through shared or hosted links.

You represent and warrant that you have all rights, licenses, permissions, notices, and consents needed to submit, process, generate, store, host, share, and use User Content. You must not use the services to create, upload, host, link to, or distribute content that is unlawful, infringing, defamatory, deceptive, abusive, exploitative, privacy-invasive, harmful, or otherwise violates these Terms, third-party rights, provider policies, or applicable law.

For voice cloning, likeness, biometric, image, audio, video, or similar features, you represent and warrant that you have obtained all legally required permissions and consents from any person whose voice, image, likeness, identity, or personal data is used. You must not use those features for impersonation, deception, harassment, non-consensual content, fraud, or unlawful activity.

6. License to operate the service

You retain whatever rights you have in User Content, subject to these Terms, applicable law, and third-party rights. You grant Empirio Labs a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, transmit, display, reformat, modify for technical purposes, process, analyze, meter, secure, debug, support, remove, and otherwise use User Content as needed to provide, protect, operate, improve, and enforce the services; comply with law; respond to support, safety, rights, and abuse reports; and resolve disputes.

This license includes the right to make User Content available to the people, systems, providers, platforms, or services you direct us to use, including through generated or shared links. This license ends when it is no longer needed for those purposes, subject to backups, legal obligations, security, abuse prevention, dispute handling, and legitimate operational needs.

7. Hosted links, takedowns, and rights complaints

Generated files and hosted outputs may be made available through links or delivery mechanisms that can expire, be disabled, or be restricted. You are responsible for where and how you share those links. We may remove, disable, restrict, preserve, or refuse to host any User Content or link at any time if we believe it may violate these Terms, violate law, infringe rights, create safety or security risk, expose the service or others to liability, trigger provider or platform restrictions, or otherwise harm users, providers, the public, or the service.

We have no general obligation to monitor User Content, but we reserve the right to review content, metadata, accounts, and usage where permitted by law and where we believe review is appropriate for safety, security, legal compliance, abuse prevention, support, billing, or service integrity.

Rights holders and authorized agents may report alleged infringement or other rights violations to support@empiriolabs.ai or to any designated copyright agent we publish for the service. A notice should include enough information to identify the work or right at issue, the material or URL to be removed or disabled, contact information, a good-faith statement, a statement that the information is accurate, and a physical or electronic signature. We may act expeditiously to remove or disable access to material identified in a valid notice, terminate repeat infringers where appropriate, and process counter-notices where required by law.

8. Privacy

Our handling of data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Brand, names, and attribution

References to third-party brands, logos, model names, platforms, and providers are used solely to identify the underlying technology, compatibility, or availability. Such references do not imply sponsorship, endorsement, partnership, or affiliation unless expressly stated. You may not use Empirio Labs, third-party marks, generated outputs, or hosted links in a way that falsely implies approval, origin, sponsorship, or endorsement.

10. Intellectual property

Except for content and models provided by you or third parties, all rights, title, and interest in and to the Empirio Labs services, including software, infrastructure, documentation, interfaces, and branding, are owned by or licensed to Empirio Labs.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the services for their intended purpose, subject to these Terms. You may not reverse engineer, decompile, scrape, overload, bypass, or attempt to extract source code, secrets, model weights, hidden prompts, system design, or non-public service information except where permitted by law.

11. Service availability and modifications

We may modify, suspend, throttle, restrict, or discontinue the services, in whole or in part, at any time. We may implement limits on usage to maintain stability, security, compliance, billing integrity, provider access, or service quality. We do not guarantee uninterrupted or error-free operation.

12. Disclaimers

To the maximum extent permitted by law, the services and all outputs are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Empirio Labs does not warrant that outputs will be accurate, complete, lawful, non-infringing, safe, available, secure, or suitable for any particular purpose. Outputs are not legal, medical, financial, safety, or other professional advice.

You are solely responsible for evaluating outputs and using appropriate human review, permissions, safeguards, and compliance checks before relying on, publishing, distributing, or commercializing them.

13. Limitation of liability

To the maximum extent permitted by law, Empirio Labs will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, data, goodwill, business, or opportunities, arising out of or related to the services, User Content, generated outputs, hosted links, third-party providers, or third-party platforms.

Our total aggregate liability for all claims arising out of or relating to the services will not exceed the greater of the amount you paid directly to Empirio Labs for the services in the three months preceding the event giving rise to the claim or one hundred U.S. dollars (US$100), unless applicable law requires otherwise.

14. Indemnification

You agree to indemnify, defend, and hold harmless Empirio Labs, its affiliates, and their respective officers, employees, contractors, providers, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the services, User Content, generated outputs, hosted links, your violation of these Terms, your violation of law, your violation of third-party rights, or any takedown notice, counter-notice, dispute, or claim connected to your activity.

15. Termination

We may suspend or terminate your access to the services, accounts, keys, hosted content, or specific integrations at any time, with or without notice, if we believe you violated these Terms or law, created risk or harm, infringed rights, submitted false or abusive notices, attempted to evade controls, created billing or security risk, or caused provider, platform, legal, or operational issues.

Upon termination, your right to use the services will cease. Provisions that by their nature should survive termination, including intellectual property, licenses needed for enforcement and compliance, disclaimers, limitation of liability, indemnification, dispute terms, and payment obligations, will continue to apply.

16. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to these Terms or the services will be resolved in the state courts located in New Mexico or, where applicable, the federal courts in the District of New Mexico, and you consent to the personal jurisdiction of those courts.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective date above. To the extent permitted by law, your continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms.

18. Third-party software and licenses

Our services may incorporate or interoperate with open-source software, open-weight models, datasets, third-party APIs, hosted tools, and other third-party services. Those components remain subject to their respective licenses, notices, acceptable-use rules, and terms.

When specific attribution, license notice, or source information is required, we may provide it in these Terms, model cards, documentation, repository files, generated notices, provider notices, or other service materials.

These notices apply where the relevant component is included in a service, model, output pipeline, or feature. They are not the full list of third-party components that may apply. Nothing in these Terms limits rights you may have under applicable open-source licenses or public-domain dedications.

19. GPU Cloud and compute instances

GPU Cloud provides managed, on-demand GPU compute instances that you launch, use, and stop through your account or our API.

Billing. GPU Cloud instances are billed for the time they are allocated to your account, at the per-hour rate shown when you launch the instance. That rate is fixed for the life of that instance and is charged against your account credit balance. Billing starts when an instance is allocated to you and continues until you stop or delete it. If your balance reaches zero, running instances may be stopped automatically to prevent further charges. Displayed catalog prices reflect current availability and can change for new instances over time.

Availability. Instance availability depends on real-time capacity and is not guaranteed. We do not provide a service level commitment for GPU Cloud unless a separate written agreement says otherwise. We may stop, move, or reclaim an instance for maintenance, capacity, security, suspected abuse, or non-payment, and we will try to give reasonable notice when practical.

Your workloads and data. You are responsible for the software you run, the data you place on an instance, and your compliance with these Terms, our acceptable use rules, and applicable law. Instance storage is temporary. Data on an instance is deleted when the instance is stopped or deleted and is not backed up by us. Keep your own copies of anything you need to retain.

Acceptable use. You may not use GPU Cloud for unlawful activity, to infringe the rights of others, to send unsolicited or harmful traffic, to mine cryptocurrency unless we have agreed in writing, to attempt to access other customers' instances or our systems, or to resell raw compute to third parties without our written permission. We may suspend or terminate instances that violate these rules.

Connectivity. You connect to a running instance through the secure endpoints shown in your dashboard and API.

20. Hosted Agents

Hosted Agents lets you deploy and run a private AI agent that we host and operate for you. You configure the agent, connect it to chat apps and other integrations, and send it messages through your account or our API.

Billing. Hosted Agents are billed as a recurring monthly plan at the price shown when you deploy the agent, charged against your account credit balance. The plan renews each month while the agent is active. If your balance cannot cover a renewal, the agent may be stopped or marked past due until payment is resolved. Model usage by your agent is billed the same way as other model usage on your account. Your plan covers a number of concurrent agents per billing month; if you delete an agent and create another within the same month, you are not charged again for that capacity, and stopping or deleting an agent partway through a month does not refund that month. Displayed plan prices can change for new deployments over time.

Availability. Agent availability depends on real-time capacity and is not guaranteed. We do not provide a service level commitment for Hosted Agents unless a separate written agreement says otherwise. We may stop, move, restart, or reclaim an agent runtime for maintenance, capacity, security, suspected abuse, or non-payment, and we will try to give reasonable notice when practical.

Integrations and credentials. You may connect your agent to third-party services such as chat platforms or model accounts. Credentials you provide for those integrations are stored in encrypted form and used only to operate your agent. You can disconnect an integration or delete the agent at any time, which removes the stored credentials for that connection. You are responsible for keeping your own integration accounts in good standing and for the actions your agent takes within them.

Your use and content. You are responsible for how you configure your agent, the instructions and data you give it, the messages it sends and receives, and your compliance with these Terms, our acceptable use rules, applicable law, and the rules of any connected service. You may not use Hosted Agents for unlawful activity, to infringe the rights of others, to send unsolicited or harmful traffic, to mine cryptocurrency unless we have agreed in writing, to attempt to access other customers' agents or our systems, or to resell the underlying runtime to third parties without our written permission. We may suspend or terminate an agent that violates these rules.

Connectivity. You connect to your agent through the secure endpoints and integrations shown in your dashboard and API.

21. Subscription plans

Subscription plans are an optional paid tier that includes a set of weekly allowances across models and features, alongside pay as you go. The plans, their prices, and the allowances included in each are shown in the relevant interface at the time you subscribe.

Plans are for your own personal use. You may not serve plan capacity to other people, resell it, share your account or API keys to give others access to it, or route plan traffic through an aggregator, proxy, reseller, or other third-party service. If you need capacity for a product, a team, a customer, or any other person, use pay as you go, which is available to every account without a subscription.

Allowances are weekly and refresh on a weekly cycle tied to your subscription, whichever billing interval you choose. Unused allowance does not roll over, does not accumulate, and is not paid out. Allowances are not credits: they have no cash value, cannot be transferred, converted to credits, redeemed, or refunded, and they end when the subscription ends.

Usage beyond the allowances included in your plan bills at the normal pay as you go rates against your credit balance. A request runs only when your available credit balance can cover the full pay as you go amount not covered by the plan. Otherwise, the request is rejected before processing and neither allowance nor credit is consumed. Included usage is still subject to rate limits, our acceptable use requirements, and the same content and safety policies as any other usage.

Some allowances are measured in a normalized unit rather than raw output. In particular, video time is measured in 480p equivalent seconds, and higher output resolutions consume that time faster at the rates shown in the interface. The applicable rate is displayed before you generate.

An account may hold one active subscription at a time. Subscriptions renew automatically at the interval you selected until you cancel. Cancelling stops the next renewal and keeps your plan active until the end of the period you have already paid for; it is not a mid-period termination and does not create a partial refund. Subscription fees are non-refundable except where a separate written agreement or applicable law requires otherwise. Payments, taxes, invoices, and receipts are handled as described in section 4.

We may change plan prices, the allowances included in a plan, and which models fall into which allowance pool, including as models are added, changed, or retired. Price increases take effect no earlier than your next renewal. Other plan changes may take effect when they are reflected in the relevant interface, subject to any notice required by applicable law. You can cancel before your next renewal if you do not want to continue. We may suspend or terminate a subscription for the reasons described in section 15, including use that violates the personal use requirement above.
